Overview

Brandon Mason is a deal lawyer who represents clients in mergers and acquisitions and capital markets transactions. Brandon also counsels public and private company clients and investment firms in many areas of corporate and securities law, including corporate governance and securities regulation.

Mergers & Acquisitions

Brandon represents both buyers and sellers in the acquisition and sale of companies or businesses. As a trusted advisor of many public companies, Brandon skillfully navigates the particular needs of transactions involving the sale of a public company or a public company’s acquisition or divestiture. He is adept at bringing his skills to bear across industries and sectors, but has particular experience in the financial services sector, the retail industry, and the food and agribusiness industry.

Capital Markets

In the capital markets space, Brandon advises companies as they access the debt and equity capital markets, whether through registered offerings or private securities transactions. He has counseled large public companies in connection with registered debt transactions, secondary offerings of stock, exchange offers and other capital markets matters. He has also represented underwriters and investment banks in connection with these transactions.

Brandon has successfully executed transactions raising billions of dollars of debt and equity financing, including PIPE transactions, at-the-market equity offering programs, and the issuance of high yield debt under Rule 144A and Regulation S private placements.

Past Experience

Before returning to his native Minnesota to join the firm, Brandon practiced for several years as an associate at Simpson Thacher & Bartlett LLP in New York.
